1. Parties
This Service Agreement ("Agreement") is between Workbird LLC, doing business as StrikeLeap (the "Provider"), and the organization purchasing an event license (the "Customer") whose authorized representative signs at checkout.
2. Service
Provider grants Customer a non-exclusive, non-transferable right to access and use StrikeLeap during the active Event Window stated at purchase, for legitimate site protection and event security work as described on the StrikeLeap website.
3. License purchased
The specific event license tier (Single, Standard, or Enterprise), Event Window length, and any add-ons are reflected on the checkout screen and the resulting payment receipt. Those records, together with the Provider's then-current Terms of Service and Privacy Policy, are incorporated into this Agreement by reference.
4. On-site support add-on
If Customer purchases on-site support staff, the following terms apply:
- Daily rate: $750 per support staff member per day.
- Minimum engagement: 7 days.
- Travel fee: $1,500 flat per engagement, payable at checkout in addition to the daily rate.
- Lodging, meals, and ground transportation beyond the included travel fee are not included and may be invoiced separately.
- On-site support is supplemental to Customer's own security personnel; Provider's staff do not assume operational control of the site.
- Cancellation by Customer with less than 72 hours' notice forfeits 50% of the daily rate for cancelled days.
5. Payment
All fees are payable in advance via the payment processor on the checkout page. Fees are in US dollars and exclusive of taxes; Customer is responsible for any sales, use, or withholding taxes that apply.
Refunds. Licenses are non-refundable once the Event Window has begun and any Customer Data has been written to the workspace. Within seven (7) days of purchase and before any Customer Data has been written, Customer may request a refund by emailing billing@strikeleap.com; Provider will issue a full refund less payment-processor fees that are not recoverable.
6. Customer Data + acceptable use
Customer owns its Customer Data. The Acceptable Use policy in the StrikeLeap Terms of Service applies, including the prohibition on using StrikeLeap to violate labor, privacy, surveillance, or weapons-related law.
7. Provider role
StrikeLeap is a record-keeping and communication tool. Provider does not provide security services, dispatch personnel, render legal advice, supervise Customer's guards, or guarantee any operational outcome. Decisions made on the ground belong to Customer and the people Customer employs. Where on-site support staff are purchased under Section 4, those staff act in a supplemental, advisory capacity and remain under Customer's operational direction.
8. Confidentiality + data protection
Each party will protect the other's confidential information using at least the same degree of care it uses for its own (and never less than reasonable care). Provider's data-protection practices are set out in the Privacy Policy.
9. Warranty disclaimer + limitation of liability
Except as expressly stated, the service is provided "as is" and "as available" without warranties of any kind. Provider's total aggregate liability arising out of or related to this Agreement will not exceed the greater of (a) the fees Customer paid for the license giving rise to the claim in the twelve (12) months preceding the event causing the liability, or (b) one thousand US dollars ($1,000). The full terms — including indemnification, force majeure, governing law, and dispute resolution — are set out in the Terms of Service and apply to this Agreement.
10. Term + termination
This Agreement begins on the date Customer signs and pays, and runs through the end of the purchased Event Window unless terminated earlier under the Terms of Service.
11. Electronic signature
Customer agrees that the typed-name signature recorded at checkout, the capture of Customer's IP address and user agent at the moment of signing, and the recorded line items together constitute an electronic signature under ESIGN and UETA, and that this Agreement is binding on Customer to the same extent as a handwritten signature.
12. Entire agreement
This Agreement, together with the Terms of Service, the Privacy Policy, and the records produced at checkout, constitutes the entire agreement between the parties on the subject and supersedes prior discussions.
